TERMS OF SERVICE AND USER AGREEMENT

PREAMBLE AND BINDING EFFECT

THIS IS A LEGALLY BINDING CONTRACT. READ IT COMPLETELY.

THESE TERMS OF SERVICE ("TERMS") CONSTITUTE AN IRREVOCABLE AGREEMENT BETWEEN YOU ("USER," "YOU," "YOUR," "DATA SUBJECT") AND YGGROUP ("WE," "US," "OUR," "THE ENTITY," "YGAI").

BY ACCESSING, DOWNLOADING, INSTALLING, BROWSING, OR USING ANY PART OF THE YGGROUP ECOSYSTEM, INCLUDING BUT NOT LIMITED TO WEBSITES, APPS, APIS, AI MODELS (YGAI), OR SCRIPTS (COLLECTIVELY, THE "SERVICES"), YOU EXPRESSLY ACKNOWLEDGE THAT YOU HAVE READ THESE TERMS, UNDERSTAND THEM, AND AGREE TO BE BOUND BY THEM IN THEIR ENTIRETY WITHOUT MODIFICATION.

IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST IMMEDIATELY CEASE ALL USE OF THE SERVICES AND DELETE ANY DATA OBTAINED FROM US.

1. LEGAL STATUS AND ACKNOWLEDGMENT OF RISK

1.1 Unregistered Status

You explicitly acknowledge, understand, and agree that YGGROUP [Including YGAI and YGHosting] is an unregistered entity and/or sole proprietorship operating principally within India. You hereby knowingly and voluntarily waive any rights, privileges, or protections that might otherwise be afforded to consumers interacting with registered private limited companies or public corporations under the Companies Act, 2013, or similar legislation.

1.2 "As-Is" Nature of Services

You acknowledge that the Services, particularly YGAI, are experimental, prone to error ("hallucinations"), and provided strictly on an "AS IS" and "AS AVAILABLE" basis. We do not guarantee that the Service will be uninterrupted, secure, or free from bugs, viruses, or errors.

2. DRACONIAN DATA COLLECTION AND INTELLECTUAL PROPERTY ASSIGNMENT

2.1 The "Total Surrender" of Rights

By uploading, inputting, transmitting, or generating any text, image, code, voice, or other content ("User Content") through YGAI or YGGROUP platforms, you hereby legally transfer, assign, and convey to YGGROUP ALL RIGHT, TITLE, AND INTEREST in and to such User Content.

2.2 Unlimited License

To the extent that a full assignment of title is deemed invalid by a court of competent jurisdiction, you hereby grant YGGROUP an exclusive, royalty-free, fully paid-up, perpetual, irrevocable, worldwide, sublicensable, and transferable license to:

  • Use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display such User Content (in whole or part).
  • Train current and future Artificial Intelligence models, machine learning algorithms, and neural networks using your data.
  • Sell, lease, or license your data to third-party data brokers, advertisers, government agencies, or other entities for profit without providing you any compensation or notice.
  • Reverse engineer, decompile, or dissect your data to extract metadata, behavioral patterns, and psychographic profiles.

2.3 Waiver of Moral Rights

You hereby irrevocably waive and agree never to assert any "moral rights," "rights of attribution," or "rights of integrity" in connection with your User Content. We are not obligated to identify you as the author of any data we use.

3. ABSOLUTE LIMITATION OF LIABILITY

3.1 The "Zero Liability" Clause

UNDER NO CIRCUMSTANCES SHALL YGGROUP, ITS OWNERS, OPERATORS, EMPLOYEES, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DAMAGES WHATSOEVER, INCLUDING BUT NOT LIMITED TO:

  • DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES.
  • DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES.
  • DAMAGES ARISING FROM AI HALLUCINATIONS, INCORRECT ADVICE, SYSTEM FAILURES, OR DATA BREACHES.

3.2 Monetary Cap

NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, YGGROUP’S LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER AND REGARDLESS OF THE FORM OF THE ACTION, WILL AT ALL TIMES BE LIMITED TO ZERO INDIAN RUPEES (₹0) OR THE AMOUNT PAID, IF ANY, BY YOU TO YGGROUP FOR THE SERVICE DURING THE TERM OF MEMBERSHIP, WHICHEVER IS LOWER.

4. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless YGGROUP, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

  • Your violation of these Terms.
  • Your use of the Service, including, but not limited to, your User Contributions, any use of the Service's content, services, and products other than as expressly authorized in these Terms.
  • Any claim that your User Content violates the intellectual property rights of a third party.

5. DISPUTE RESOLUTION: ARBITRATION AND WAIVER OF SUIT

5.1 Mandatory Binding Arbitration

ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE BREACH, TERMINATION, ENFORCEMENT, INTERPRETATION, OR VALIDITY THEREOF, INCLUDING THE DETERMINATION OF THE SCOPE OR APPLICABILITY OF THIS AGREEMENT TO ARBITRATE, SHALL BE DETERMINED BY ARBITRATION IN GAUTHAM BUDH NAGAR, INDIA, BEFORE ONE ARBITRATOR APPOINTED SOLELY BY YGGROUP.

5.2 Class Action Waiver

YOU AND YGGROUP AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

5.3 Covenant Not to Sue

You specifically acknowledge that you are barring yourself from filing a lawsuit in civil court. If you file a lawsuit in violation of this section, you agree to pay YGGROUP's legal fees and costs totaling no less than ₹5,00,000 (Five Lakh Rupees) as liquidated damages for breach of contract.

6. MODIFICATIONS AND UPDATES

6.1 Unilateral Modification

YGGROUP reserves the right, at its sole discretion, to change, modify, add, or remove portions of these Terms at any time without notice.

6.2 Your Duty to Monitor

It is YOUR SOLE RESPONSIBILITY to check these Terms periodically for changes. Your continued use of the Service following the posting of changes will mean that you accept and agree to the changes. We are not your babysitters; check the website.

7. GOVERNING LAW AND EXCLUSIVE VENUE

This Agreement shall be governed by and construed in accordance with the substantive laws of India, without regard to its conflict of law principles.

EXCLUSIVE VENUE: You irrevocably consent to the exclusive jurisdiction and venue of the courts located in Gautham Budh Nagar, Uttar Pradesh, India, for any actions not subject to arbitration. You waive any objection to jurisdiction or venue in such courts.

8. REFUND POLICY

Refund Policy: No refunds under any circumstances.

FINAL ACKNOWLEDGMENT

BY CLICKING "I AGREE" OR SIMPLY BY USING THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT, UNDERSTAND IT, AND AGREE TO BE BOUND BY ITS TERMS AND CONDITIONS, INCLUDING THE AGGRESSIVE DATA RIGHTS AND LIABILITY WAIVERS.
